License Agreement

This INTERA Core Free-of-Charge Software License Agreement (“License”) governs the download, installation and use of the downloadable INTERA Core software package.

By downloading, installing, copying or using INTERA Core, You agree to this License.

If You do not agree to this License, You must not download, install or use INTERA Core.

1. Definitions

For purposes of this License:

“INTERA” means the INTERA software platform developed and distributed by SERGEY BOGDANOV.

“Licensor” means SERGEY BOGDANOV.

“INTERA Core” or “Software” means the downloadable INTERA Core software package expressly distributed by the Licensor under this License, including the executable software and any files, libraries, configuration files and documentation included by the Licensor in that downloadable package.

“Instance” means an installed and operating deployment of INTERA Core.

“You” or “Licensee” means the individual or legal entity downloading, installing or using the Software.

“Commercial Use” means use in connection with a business, profession, public authority, non-profit organization or other organizational or economic activity.

2. Scope of This License

This License applies only to the downloadable INTERA Core software package expressly distributed under this License.

It does not apply to separately distributed INTERA products or content, including:

INTERA Roles;
role packages;
commercial or free marketplace packages;
third-party or INTERA integrations distributed separately;
premium modules or extensions;
professional services;
hosted INTERA services;
support subscriptions;
separately licensed connectors;
third-party software; or
any other software, content or service distributed under separate terms.

Those products or services may be subject to separate licenses, commercial terms or subscription agreements.

3. License Grant

Subject to Your compliance with this License, the Licensor grants You a limited, worldwide, non-exclusive, royalty-free right to:

download INTERA Core;
install INTERA Core on infrastructure controlled by You or operated on Your behalf;
operate INTERA Core for Your own internal purposes;
use INTERA Core for personal, educational, non-profit or Commercial Use;
create and operate multiple INTERA Core Instances for Your own organization;
configure INTERA Core using functionality provided by the Software;
connect INTERA Core to systems, integrations and DataSources that You are authorized to access;
create Your own internal configuration, Assets, Asset Types, Metrics, dashboards and other data or configuration supported by INTERA Core; and
permit Your employees, contractors and professional advisers to use or administer Your INTERA Core Instances on Your behalf.

No license fee is payable for the rights expressly granted under this License.

4. Commercial Use

Commercial Use of INTERA Core is permitted.

You may use INTERA Core to operate, monitor, analyze or manage Your business or organization without paying a license fee for INTERA Core itself.

This includes using INTERA Core in connection with revenue-generating activities.

For avoidance of doubt, a business does not become liable for a license fee merely because INTERA Core is used in the operation of that business.

5. Self-Hosting

INTERA Core may be installed on:

Your own physical servers;
Your own virtual machines;
private cloud infrastructure;
infrastructure rented from a hosting or cloud provider; or
infrastructure operated by a contractor on Your behalf.

You are responsible for the deployment, operation, security, backup and administration of self-hosted INTERA Core unless You have entered into a separate agreement for such services.

6. Internal Users

Unless otherwise expressly stated for a particular release, INTERA Core does not impose a contractual license limit under this License on the number of employees or other authorized internal users who may access an Instance operated for Your organization.

Technical limitations implemented by the Software do not themselves constitute additional license rights.

7. Multiple Instances

You may operate multiple INTERA Core Instances for Your own organization, including instances used for:

production;
development;
testing;
training;
disaster recovery;
separate departments;
separate locations; and
separate legal entities controlled by the same organization, provided that the Software is not being commercially sublicensed, rented or sold to unrelated third parties.

8. Service Providers and Contractors

You may engage third-party consultants, hosting providers, system integrators, developers or other contractors to install, configure, maintain or operate INTERA Core on Your behalf.

Such service providers may charge You for their professional services.

Their access to INTERA Core must be solely for providing services to You and does not grant them an independent right to commercially redistribute or sublicense the Software.

9. Restrictions

Except where expressly permitted by this License or by mandatory applicable law, You may not:

sell INTERA Core;
sublicense INTERA Core;
rent, lease or commercially license INTERA Core to another person or organization;
distribute copies of INTERA Core as Your own software product;
rebrand INTERA Core and represent it as software developed by You;
remove or obscure copyright, trademark or proprietary notices included in INTERA Core;
use the INTERA name, logos or trademarks in a manner that falsely suggests ownership, endorsement, certification or partnership;
circumvent technical mechanisms intentionally designed to enforce separately licensed INTERA functionality;
use INTERA Core as a means of avoiding license requirements applicable to separately licensed INTERA products;
provide INTERA Core itself as a commercially licensed product to third parties without written authorization from the Licensor; or
exercise rights in the Software in violation of applicable law.

Nothing in this License restricts any action that applicable law does not permit the Licensor to prohibit.

10. Hosting for Third Parties

You may not operate a business whose primary product is commercially licensing access to INTERA Core itself to unrelated third parties unless separately authorized by the Licensor.

This restriction does not prevent:

a hosting provider from hosting an INTERA Instance on behalf of its customer;
an IT provider from administering an INTERA Instance belonging to its customer;
a consultant from installing or configuring INTERA Core for a customer; or
a business from allowing its customers, suppliers or partners limited access to its own INTERA Instance where such access supports that business’s normal operations.

The distinction is whether INTERA Core itself is being offered as the commercial product.

11. Redistribution

Unless the Licensor expressly states otherwise, this License does not grant a general right to redistribute the INTERA Core installation package.

You may make copies reasonably necessary for:

installation;
backup;
disaster recovery;
development;
testing; and
internal deployment within Your organization.

A contractor acting on Your behalf may temporarily possess or copy INTERA Core where reasonably necessary to perform services for You.

Public redistribution, mirroring or republishing of the INTERA Core installation package requires the Licensor’s written permission.

12. Modification

You may configure INTERA Core using configuration mechanisms intentionally provided by the Software.

Nothing in this License grants a general right to distribute modified versions of INTERA Core.

Where source code or other modifiable components are made available, any rights to modify those components may be subject to additional terms accompanying those components.

Nothing in this Section restricts rights that cannot lawfully be excluded under applicable law.

13. Interoperability and Statutory Rights

Nothing in this License is intended to exclude or restrict rights that applicable law grants to the lawful acquirer of computer software and which cannot legally be waived.

Where applicable, such rights may include acts necessary for lawful use, error correction, backup, observation or testing of program operation, and obtaining information necessary for interoperability, subject to the conditions imposed by applicable law.

14. Ownership

INTERA Core is licensed, not sold.

The Licensor and its licensors retain all right, title and interest in and to INTERA Core, including all applicable:

copyrights;
database rights;
trademarks;
trade names;
design rights;
patents;
trade secrets; and
other intellectual property rights.

Except for the rights expressly granted under this License, no rights are transferred to You.

15. Your Data

You retain ownership of data that You enter into or process using INTERA Core, subject to any rights belonging to third parties.

The Licensor does not acquire ownership of Your business data merely because that data is processed by INTERA Core.

You are responsible for ensuring that You have all rights and permissions necessary to collect, store, access and process data through INTERA Core.

16. Your Configuration and Business Definitions

Subject to the Licensor’s rights in INTERA Core itself, You retain rights in original materials independently created by You through normal use of INTERA Core, including Your own:

business configuration;
locally defined Assets;
Asset Types;
Metric definitions;
dashboards;
rules;
mappings; and
other organization-specific configuration or content.

This does not transfer ownership of INTERA Core components incorporated into or required by those materials.

Separately distributed INTERA packages remain subject to their respective licenses.

17. Integrations and Third-Party Systems

INTERA Core may communicate with external systems, databases, APIs, services or integrations.

This License does not grant You any rights to those external systems or their data.

You are responsible for obtaining all licenses, subscriptions, credentials and permissions required to access them.

The Licensor is not responsible for third-party systems changing, becoming unavailable or becoming incompatible with INTERA Core.

18. Updates

The Licensor may release:

updates;
security fixes;
maintenance releases;
new versions; or
replacement versions of INTERA Core.

The Licensor is not obligated under this License to provide any update.

A future version of INTERA Core may be distributed under the same License, a revised license or different commercial terms.

The license accompanying each release governs that release.

19. No Obligation to Maintain Free Availability

The Licensor may change the commercial model, distribution method or availability of future versions of INTERA Core.

The Licensor is not obligated to make future releases available free of charge merely because an earlier version was provided free of charge.

This does not retroactively impose a license fee on a copy of INTERA Core validly obtained and licensed under this License.

20. Support

INTERA Core is provided under this License without any obligation to provide technical support.

Support, implementation, consulting, hosting, maintenance, managed services or service-level commitments may be offered under separate commercial agreements.

The existence of a paid support or service offering does not alter Your right to use INTERA Core under this License.

21. Security and Administration

You are responsible for securely operating Your INTERA Core installation.

This includes responsibility for:

operating-system security;
network security;
authentication;
access permissions;
credentials;
database security;
backups;
disaster recovery;
integration credentials;
firewall configuration;
infrastructure updates; and
other aspects of Your hosting environment.

The Licensor does not warrant that INTERA Core will prevent unauthorized access, data loss, cyberattack or other security incidents.

22. No Warranty

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INTERA CORE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

THE LICENSOR MAKES NO WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, REGARDING THE SOFTWARE.

Without limiting the foregoing, the Licensor does not warrant that INTERA Core:

will be uninterrupted or error-free;
will meet all of Your requirements;
will detect every business, operational or financial issue;
will produce complete or accurate results in every circumstance;
will be compatible with every external system;
will remain compatible with future external-system changes;
will satisfy Your regulatory obligations; or
will be suitable for any particular purpose.

To the maximum extent permitted by law, implied warranties of merchantability, satisfactory quality, fitness for a particular purpose and non-infringement are disclaimed.

23. Operational and Management Decisions

INTERA Core is a software platform intended to assist users in organizing, displaying, monitoring, comparing and analyzing information.

INTERA Core does not replace human management responsibility.

You remain responsible for:

verifying information;
configuring the Software appropriately;
determining the significance of information presented by the Software;
deciding what action should be taken; and
obtaining professional advice where appropriate.

The Licensor is not responsible for decisions made or not made on the basis of information displayed, calculated or processed by INTERA Core.

24. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR AND ITS DIRECTORS, EMPLOYEES, CONTRACTORS, CONTRIBUTORS AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO INTERA CORE.

This includes, without limitation:

loss of profit;
loss of revenue;
loss of business opportunity;
business interruption;
loss or corruption of data;
loss of anticipated savings;
failure to identify an operational problem;
incorrect calculations;
incorrect or incomplete data obtained from an external system; and
decisions made using information processed by INTERA Core.

To the maximum extent permitted by applicable law, the aggregate liability of the Licensor arising from or relating to INTERA Core supplied free of charge under this License shall not exceed EUR 100.

Nothing in this License excludes or limits liability that applicable law does not permit to be excluded or limited.

25. Compliance With Law

You are responsible for operating INTERA Core in compliance with laws and regulations applicable to You and Your organization.

Depending on Your use of INTERA Core, these may include requirements relating to:

privacy;
personal data;
cybersecurity;
telecommunications;
accounting;
taxation;
employment;
financial services;
transportation;
maritime operations; or
other regulated activities.

The availability of functionality within INTERA Core does not represent a certification that Your implementation complies with applicable law.

26. Trademarks

This License does not transfer ownership of any INTERA trademark.

You may truthfully state that You use INTERA Core.

You may not use INTERA names, logos or branding in a manner that suggests that:

Your organization is INTERA;
Your software was developed by INTERA;
You are an authorized INTERA partner;
INTERA endorses Your products or services; or
a modified or independently provided service is an official INTERA service, unless You have separate authorization from the Licensor.

27. Termination

Your rights under this License terminate if You materially breach its terms.

Where the breach is capable of cure, the License will not terminate if You cure the breach within thirty (30) days after receiving written notice from the Licensor.

The Licensor may terminate Your rights immediately for deliberate:

unauthorized commercial resale of INTERA Core;
sublicensing of INTERA Core;
fraudulent representation of ownership of INTERA Core;
circumvention of separately licensed functionality; or
intentional infringement of the Licensor’s intellectual property rights.

Upon termination, You must cease using copies of INTERA Core licensed under this License.

Termination does not affect Your ownership of Your own business data.

28. No Partnership

This License does not create:

a partnership;
joint venture;
franchise;
employment relationship;
agency relationship; or
fiduciary relationship between You and the Licensor.

29. Assignment

You may not assign this License as a standalone commercial asset without the Licensor’s written consent.

The Licensor may assign its rights under this License as part of a merger, acquisition, corporate restructuring, transfer of intellectual property or sale of substantially all relevant business assets.

Mandatory rights under applicable law remain unaffected.

30. Governing Law

This License is governed by the laws of REPUBLIC OF CYPRUS, excluding its conflict-of-laws rules.

Subject to mandatory applicable law, the courts of LIMASSOL, CYPRUS shall have exclusive jurisdiction over disputes arising from or relating to this License.

31. Severability

If any provision of this License is held invalid, illegal or unenforceable, that provision shall be interpreted or limited to the minimum extent necessary to make it enforceable where possible.

The remaining provisions shall continue in full force and effect.

32. No Waiver

Failure by the Licensor to enforce a provision of this License does not waive the Licensor’s right to enforce that provision or any other provision later.

33. Entire License

This License constitutes the complete software license applicable to the downloadable INTERA Core package unless the Licensor and Licensee enter into a separate written agreement that expressly supersedes it.

Separate terms may independently govern services, support, hosted products, marketplace content, integrations or other INTERA products.

34. License Notice

INTERA Core distributions should contain substantially the following notice:

INTERA Core

INTERA Core is licensed under the INTERA Core Free-of-Charge Software License Agreement.

INTERA Core may be downloaded, installed and used free of charge, including for internal commercial business use, subject to the terms of the License.

INTERA Core is licensed, not sold.

Redistribution, resale and sublicensing are not permitted except as expressly provided by the License or applicable law.
